GNS CHINA (“Company”) grants you (the “Contributor”) the right to access and post information, data and requests (“Contributions”) to this website (“Site”), conditional upon the Contributor’s acceptance and compliance with these terms and conditions:
1.EXCLUSION OF WARRANTIES & LIABILITY
To the extent permitted by law, the Company gives no warranty, undertaking or representation in relation to the condition, accuracy, security, privacy, confidentiality, suitability or quality of this Site or any links to other internet sites, and all implied conditions, warranties and liabilities including liability as to negligence in relation to same are expressly negated and excluded. The Contributor acknowledges and agrees that to the extent permitted by law, the Company is not liable for any loss or damage including consequential loss or damage which in any way results from the Contributor’s use or non-use of this Site.
2. BUSINESS DETAILS & CONTRIBUTIONS
2.1 business details
The Company requires that you provide background information concerning your business (“Business Details”). All such Business Details will be treated in strict confidence.
The Contributor undertakes and warrants to the Company that all Business Details, Contributions and all other information, representations and documents it supplies to the Company, other users of the Site and investors are and will be at all times up-to-date, complete, true and correct and not misleading, deceptive or likely to mislead and that its conduct in all negotiations, dealings and documents with the Company, other users of the Site or investors are not and will not be misleading or deceptive or likely to mislead or deceive.

The Contributor agrees with the Company that the Contributor will conduct its own due diligence enquiries, investigations and analysis of all information, advice, representations, invitations or offers made to the Contributor and shall not rely upon any information, advice or representation provided about any invitation, offer, investor or otherwise without independently verifying its truth and accuracy and obtaining independent professional advice.
The Contributor shall upon request provide a written statement to the Company acknowledging that the Contributor has conducted its own independent enquiries and analysis and obtained independent professional advice.
4. COPYRIGHT
Copyright in any document, advertisement or website created by the Company belongs to the Company. The Contributor agrees that the Company shall subject to this document have a non-exclusive right to disclose and use the Contributions and to authorise others to disclose and use the Contributions. The Company may and may authorise others to incorporate the Contributions into any database and also publish, reproduce, sell or supply by any means all or some of the Contributions.
5. INDEMNITY
To the extent that a claim or action is brought or liability arises against the Company or its agents, employees or contractors based on or related to any act or omission on the part of the Contributor, the Contributor shall indemnify and keep indemnified the Company and such agents, employees and contractors from and against any and all actions, claims, damages, costs, liabilities and expenses including reasonable legal fees suffered or awarded.
6. LINKS & OTHER SITES
The Company takes no responsibility for the contents, accuracy or performance of any links attached to the Site. The Contributor acknowledges that it accesses these links and the services contained therein at its own risk and indemnifies the company for any liability or loss or damage incurred by it as a consequence of accessing these links.
7. ILLEGAL & UNLAWFUL ACTS
The information in this Site is not intended and should not be used directly or indirectly for the commission of any unlawful act or omission by any person or company.
The Company reserves the right to:
a. refuse any application by a Contributor;
b. terminate any potential or existing relationship with the Contributor if in the Company’s opinion the Contributor appears to be acting unethically or conducting its affairs in an unlawful manner.
The Contributor acknowledges that it shall not have any right to compensation for termination under this clause by the Company.
